Tax Due Diligence

Tax Due Diligence Advisor | TMT Sector | Flexible Work Pattern | Part-Time Initially

A boutique advisory firm is seeking a Tax Due Diligence specialist to focus on high-growth Technology, Media and Telecommunications deals.

The Role

The Tax Due Diligence advisor will lead tax reviews on exciting TMT transactions, working with PE/VC-backed scale-ups and established tech businesses.

Key Responsibilities:

Leading tax due diligence projects across TMT M&A transactions
Identifying and quantifying tax risks, exposures and opportunities
Reviewing R&D relief, Patent Box, and intangibles tax treatment
Assessing IR35/off-payroll compliance and EMI/share schemes
Analysing VAT on digital services and cross-border supplies
Evaluating transfer pricing for IP and cost-sharing arrangements
Reviewing HMRC enquiries, tax losses and group relief positions
Presenting findings to clients and deal teams with commercial insight
Supporting SPA negotiations on tax warranties and indemnities
Mentoring junior team members on complex TMT tax mattersTMT Focus Areas:

SaaS, subscription and platform business models
Fintech, gaming and streaming media
Telecommunications and digital infrastructure
Cloud computing and data centre operations
Digital services tax and Pillar Two implications

Candidate Profile

Essential:

ACA/CTA qualified
6-8 years UK corporate tax experience
3+ years in transaction advisory or tax due diligence
Strong knowledge of UK corporate tax, employment tax and VAT
Proven ability to work autonomousley
Excellent client-facing and communication skillsDesirable:

Dual qualified (ACA/CTA)
Big Four or boutique firm background
Experience with venture-backed businesses
Knowledge of cross-border tax structures
